1. Scope

1.1. These General Terms and Conditions (GTC) govern the business relationship between tools4coda.io, Tobias Feistmantl, Schmiedgasse 3, 6060 Hall in Tirol, Austria (hereinafter "vendor") and the customer.

1.2. A consumer is any natural person who enters into a legal transaction for a purpose that can predominantly be attributed neither to their commercial nor independent professional activity. An entrepreneur is any natural or legal person or partnership who, when concluding the transaction, acts in the exercise of their commercial or independent professional activity.

1.3. Deviating terms and conditions of the customer are not recognized unless the vendor expressly agrees to their validity in writing.

2. Offers and contract conclusion

2.1. The presentation of products on this website constitutes an invitation to place an order, not a binding offer.

2.2. By clicking a "Buy now" button you are redirected to the secure checkout page of Stripe, Inc. / Stripe Payments Europe, Ltd. After entering your payment details and confirming the payment, you submit a binding order. The contract between you and the vendor is concluded when the vendor delivers the purchased digital template to the email address provided during checkout, typically immediately after payment confirmation.

2.3. The automatic Stripe payment confirmation and receipt document the payment and are provided by Stripe; the vendor additionally confirms the contract and delivery by email containing the access link to the purchased Coda template.

2.4. If the template cannot be delivered (for example due to a technical defect or the discontinuation of a product), any payment already made will be refunded without delay.

3. Prices and taxes

3.1. All prices are quoted in USD. Prices exclude VAT; for consumers within the EU, VAT is added at checkout where applicable. The Stripe checkout page displays the final total price including all taxes and fees before payment is completed.

3.2. There are no shipping, delivery or processing fees. The costs for the use of the remote communication technology (internet access) are borne by the customer according to their own contracts with their providers; the vendor charges no additional fees.

4. Payment

4.1. Payment is processed exclusively through Stripe. The available payment methods (for example credit card, debit card, Apple Pay, Google Pay and, depending on region, further local methods) are displayed on the Stripe checkout page.

4.2. When using the payment service, the payment terms of Stripe Payments Europe Ltd (for EU customers) or Stripe, Inc. apply in addition. The vendor stores no credit card or other payment credentials.

4.3. The vendor may use the services of third parties (such as Stripe) for processing payments; the provider's terms also apply to the payment process itself.

5. Delivery, digital content

5.1. The purchased products are digital Coda.io templates. Delivery takes place by providing a link to the Coda template by email to the address used at checkout, immediately and in any case before the end of the next business day after payment.

5.2. There is no physical shipment; consequently no shipping costs apply.

5.3. To use the template you need a Coda.io account (InboxOS requires at least the Coda Pro plan). The requirements of third-party services (Coda, Gmail, Google Calendar) are outside the vendor's control.

6. Right of withdrawal (consumers)

6.1. Consumers have a statutory right of withdrawal of 14 days from conclusion of the contract. Details and the withdrawal form are available on our Revocation Policy page.

6.2. Entrepreneurs are not entitled to a right of withdrawal. The statutory warranty (Gewährleistung) rights remain unaffected.

7. License to the templates

7.1. Upon payment, the vendor grants the customer a non-exclusive, non-transferable right to use the purchased template for their own purposes: for consumers also within their household, for entrepreneurs within their own company.

7.2. Reselling, sublicensing, publishing or redistributing the template or its components, in original or modified form, is not permitted. Violations may result in revocation of the license and claims for damages.

8. Warranty (Gewährleistung)

8.1. The statutory warranty provisions apply. For digital content, the customer is asked to report any defects (for example a defective link or an inaccessible template) without delay to support@tools4coda.io; the vendor will provide remedy (a corrected access link or a replacement) within a reasonable period.

8.2. No additional commercial guarantees are provided unless expressly stated on the product page.

9. Liability

9.1. The vendor is liable for damages only in cases of intent or gross negligence, in accordance with the statutory provisions (§ 1319a ABGB). Liability for slight negligence is excluded; this does not apply to personal injuries or to violations of cardinal obligations (cardinal duties under case law).

9.2. The vendor is not liable for damages arising from the use of the templates in the customer's own documents, nor for the availability, functionality or terms of third-party services (Coda.io, Gmail, Google Calendar, Stripe).

10. Contract language, storage

10.1. The contract language is German; these English terms are a courtesy translation. In case of doubt, the German version prevails.

10.2. You can print these terms and the order details during checkout using the browser print function. The Stripe receipt and the vendor's confirmation email containing the delivery of the template serve as the contract confirmation on a durable data medium (§ 7 Abs. 3 FAGG).

11. Miscellaneous

11.1. Austrian law applies, excluding the UN Sales Convention. For consumers, the mandatory consumer protection provisions of their country of residence remain applicable.

11.2. The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

11.3. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
